If Outlook 2010 Keeps asking for Password when trying to access 365 confirm you are using correct username and password by testing on 365 portal.

If username and password are correct go to
Control Panel -> Mail -> Email Accounts -> Change -> Security Tab -> and confirm Logon Network Security is set to 'Anonymous Authentication'.  If it is not an option from the drop down menu you need to update Office by installing Service pack 2.
